Terms of Service
Effective Date: 6 May 2026 · Last Updated: 6 May 2026 · Version 3.0
Sylk Health is operated by Hydra Holdings FZ, registered in Meydan Free Zone, Dubai, UAE (License No. [MEYDAN_LICENSE_NUMBER]). Registered Address: [REGISTERED_ADDRESS].
1. Agreement to Terms
By accessing or using the Sylk Health platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). These Terms apply to all visitors, users, and others who access or use the Platform, regardless of whether you submit a Booking Inquiry.
Certain provisions of these Terms (Sections 12, 13, and 14) create contractual obligations enforceable only against users who submit a Booking Inquiry through the Platform and affirmatively accept these Terms via the booking form. All other provisions apply to all visitors and function as notices, disclaimers, and platform rules.
Eligibility
The Platform is intended for individuals aged 18 or older. By accessing or using the Platform, you represent that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. If you are submitting a Booking Inquiry on behalf of a minor, you represent that you are the parent or legal guardian of that minor and accept these Terms on their behalf.
2. Definitions
- “Booking Inquiry” means a non-binding expression of interest submitted by a user to a provider through the Platform. It does not constitute a booking, appointment, contract for medical services, medical referral, or recommendation. No obligation arises from the submission of a Booking Inquiry until the user and provider independently agree to terms of engagement.
- “Platform” means the website at sylkhealth.com (and any subdomains), including all content, features, and services.
- “Provider” or “Healthcare Provider” means an independent healthcare professional or facility listed on the Platform. Providers are not employees, agents, or representatives of Sylk Health.
- “User” means any individual who accesses or uses the Platform, including visitors, browsers, and those who submit Booking Inquiries.
- “Proprietary Data” means the aggregated pricing statistics, comparison data, cost calculation outputs, algorithmic estimates, database compilations, and the selection, coordination, and arrangement of data displayed on the Platform. Proprietary Data does not include individual provider-supplied profile content (which remains the property of the respective Healthcare Provider), but does include the compiled dataset as a whole.
- “Sylk Health,” “we,” “us,” “our” means Hydra Holdings FZ, a company registered in Meydan Free Zone, Dubai, UAE (License No. [MEYDAN_LICENSE_NUMBER]).
- “Material Change” means a modification that affects user rights or obligations, including changes to dispute resolution, governing law, limitations of liability, data use, or the introduction of fees.
3. Platform Role and Services
Sylk Health is an online marketplace platform that provides information about healthcare providers and makes consultation booking available to users. The Platform provides booking infrastructure connecting users with independent healthcare providers.
What the Platform Does
- Operates a marketplace where users can browse providers, compare pricing, and submit Booking Inquiries directly
- Provides general information about medical procedures and costs
- Provides scheduling tools (collects only email address, procedure of interest, and preferred language — no medical records, diagnoses, or clinical data)
- Offers cost comparison tools and calculators
- Provides marketplace messaging between parties
What Sylk Health Is Not
- Not a healthcare provider, medical practice, hospital, or clinic
- Not a medical referral service (does not refer, recommend, or endorse any provider)
- Does not practice medicine
- Does not provide medical advice, diagnosis, or treatment
- Does not collect, store, or process medical records or Protected Health Information (PHI)
- Does not act as a Business Associate under HIPAA
No Doctor-Patient Relationship
Your use of the Platform does not create a physician-patient, therapist-patient, or any healthcare provider-patient relationship between you and Sylk Health.
Dual-Contract Structure
When you submit a Booking Inquiry, you may enter into two separate relationships: (a) a relationship with Sylk Health for the provision of booking infrastructure services (governed by these Terms), and (b) a direct relationship with the Healthcare Provider for the provision of medical services (governed by the provider’s own terms and conditions). Sylk Health is not a party to any agreement between you and any Healthcare Provider.
Provider Non-Response
Sylk Health does not guarantee that Healthcare Providers will respond to Booking Inquiries within any particular timeframe or at all. Sylk Health is not responsible for a provider’s failure to respond, delay in responding, or refusal to accept a Booking Inquiry.
Third-Party Links
The Platform may contain links to third-party websites, including Healthcare Provider websites, accreditation bodies, government health agencies, and other external resources. Sylk Health is not responsible for the content, accuracy, privacy practices, or availability of any third-party website. Inclusion of a link does not imply endorsement.
4. Provider Independence
All healthcare providers listed on the Sylk Health platform are independent practitioners. They are not actual agents, apparent agents, ostensible agents, employees, or representatives of Sylk Health or any of its affiliates in any way. Sylk Health does not employ, control, direct, or supervise any healthcare provider or the medical services they provide.
Any effort, feature, process, policy, standard, quality indicator, accreditation display, pricing tool, review system, verification process, or other effort undertaken by Sylk Health in the interest of user experience, transparency, or information quality (whether required by applicable regulations or not) shall not be construed as an indicia of an employment, actual agency, apparent agency, ostensible agency, or joint venture relationship with any Healthcare Provider.
Provider Responsibility
Each Healthcare Provider is solely and exclusively responsible for: (a) all medical care, treatment, advice, and clinical decisions; (b) compliance with all applicable laws, regulations, and professional licensing requirements in their jurisdiction of practice; (c) the accuracy of their profile information, credentials, pricing, and availability; and (d) their own malpractice insurance coverage.
No Endorsement
Sylk Health does not recommend, endorse, guarantee, or warrant any particular Healthcare Provider. Search results and provider listings are generated based on user-specified criteria and are not a recommendation of any provider over another.
Third-Party Content
Provider profiles, credentials, descriptions, pricing information, images, and other content displayed on provider pages are supplied by the Healthcare Providers themselves. Sylk Health is not the author, creator, or developer of such content and is not responsible for its accuracy, completeness, timeliness, or reliability.
Accreditation Data
Accreditation data displayed on the Platform is sourced from provider self-reported profiles and publicly available accreditation databases. Sylk Health does not independently verify accreditation status and makes no representation as to its accuracy or currency. Display of accreditation data does not constitute an endorsement, recommendation, or quality assurance by Sylk Health. Users should independently verify accreditation status directly with the accrediting body.
Pricing
All procedure prices displayed on the Platform are provider-listed prices set by the Healthcare Providers themselves. Estimated US comparison prices are generated by statistical models for informational comparison purposes only and do not represent actual quotes, offers, or provider-set prices. Final pricing for any medical service is determined solely between the user and the Healthcare Provider.
5. Medical Disclaimers, Risk Acknowledgment, and Emergency Exclusion
The platform is not intended as a substitute for, nor does it replace, professional medical advice, diagnosis, or treatment. Always seek the advice of qualified healthcare providers with any questions regarding medical conditions. Content generated by artificial intelligence is not, and is not a substitute for, an opinion, medical advice, or diagnosis or treatment.
Medical Tourism Risk Acknowledgment
By using the Platform to explore healthcare services in a country other than your own, you acknowledge that: (a) standards of medical care, licensing, and accreditation vary between countries and may differ from those in your home country; (b) malpractice recourse, legal remedies, and complaint mechanisms in the provider’s country may be limited or unavailable; (c) complications from medical procedures may require follow-up care that is difficult to obtain after returning home; (d) travel after surgery carries medical risks including deep vein thrombosis, infection, and delayed healing; (e) language barriers may affect clinical communication; and (f) insurance coverage for international medical procedures may be limited or excluded. For detailed risk information, see our Medical Travel Risks page.
No Outcome Guarantee
Sylk Health makes no representations about medical outcomes, treatment results, or provider quality. Before/after images and testimonials displayed on provider profiles are illustrative and not guarantees. Sylk Health does not verify the authenticity of provider-displayed reviews, testimonials, or before/after images. Medical outcomes depend on individual factors. Users should conduct independent due diligence including in-person consultations before committing to any medical procedure.
Emergency Exclusion
The Platform is not intended for and must not be used for emergency medical purposes, emergency appointments, emergency healthcare procedures, or any other emergency situations. If you are experiencing a medical emergency, contact your local emergency services immediately.
Insurance Jurisdiction Warning
Certain Healthcare Providers listed on the Platform are located in jurisdictions where medical malpractice insurance is not available or mandatory. Sylk Health does not verify whether listed providers maintain malpractice insurance. Users are responsible for independently assessing insurance coverage and legal recourse availability in the provider’s jurisdiction.
User Disclosure Responsibility
If you fail to disclose relevant medical conditions, allergies, or other health information to the Healthcare Provider you book with through the Platform, Sylk Health shall not be liable for any resulting harm, complication, or adverse outcome.
Travel Insurance
Sylk Health strongly recommends that any user who travels internationally for healthcare services obtains comprehensive travel and medical insurance covering: (a) medical treatment abroad, including complications arising from planned procedures; (b) medical repatriation and evacuation; (c) trip cancellation and curtailment; and (d) personal liability. Sylk Health does not provide, arrange, or recommend specific insurance products and is not an insurance intermediary. You are solely responsible for the adequacy of your insurance coverage. Travelling without adequate insurance is at your own risk.
Health Information Prohibition
Users must not include protected health information, medical records, test results, diagnostic images, or detailed health conditions in Booking Inquiries or any communications through the Platform. Booking Inquiries are limited to non-clinical information: email address, procedure of interest, and preferred language.
6. Proprietary Data and Commercial Licensing
The Proprietary Data (as defined in Section 2) is the exclusive property of Sylk Health. Sylk Health treats the Proprietary Data as a trade secret and protects it accordingly through contractual, technical, and legal measures.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Proprietary Data solely for personal, non-commercial, informational purposes.
Any commercial use of the Proprietary Data — including but not limited to redistribution, sublicensing, incorporation into competing products or services, use for price comparison services, inclusion in reports for commercial sale, use in connection with information vending or commercial publishing in any manner or format, or use for the benefit of any third party or any entity that competes with Sylk Health — is strictly prohibited without a separate written Commercial Data License Agreement.
The Proprietary Data may not be used to construct, populate, supplement, or enrich any database, dataset, or data product of any kind. You may not accumulate or index, directly or indirectly, any Proprietary Data for any purpose. You may not combine, aggregate, or compile data obtained from the Platform with data from any other source or with data obtained through other accounts.
The Proprietary Data may not be used in prompts, for training, tuning, fine-tuning, or otherwise incorporating into any large language model, transformer model, foundational model, neural language model, or other artificial intelligence model (or any derivative models therefrom), whether for internal purposes, commercial use, or otherwise, without prior written consent from Sylk Health.
You may not create derivative works, analyses, reports, indices, or other data products based on the Proprietary Data.
Commercial licenses for the Proprietary Data are available. Contact licensing@sylkhealth.com or visit our Data Licensing page for licensing terms and pricing.
7. Intellectual Property and Anti-Scraping
Unless otherwise stated, all rights in the Platform (technology, content, trademarks, trade dress, look and feel) are owned by Sylk Health or its licensors.
You are not permitted to access, monitor, copy, scrape, crawl, download, reproduce, or otherwise use anything on the Platform using any robot, spider, scraper, other automated means, or automated assistants (including, but not limited to, those that operate by interacting with or otherwise making use of your browser, such as AI-powered assistants), without prior express written permission from Sylk Health.
You must not bypass, evade, or otherwise avoid any measure intended to block, restrict, modify, or control access to or use of the Platform, including rate limits, access controls, CAPTCHAs, or bot detection systems.
Sylk Health monitors visits to the Platform and may block anyone (and any automated system) suspected of: conducting excessive or automated searches, using devices or software to gather pricing information, creating undue platform stress, or using automated assistants to access the Platform without express permission.
You acknowledge that monetary damages may be inadequate for unauthorized scraping, data extraction, or commercial use of the Proprietary Data and that Sylk Health shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
You agree that actual damages from unauthorized automated access are difficult to calculate. If you access the Platform through automated means in violation of these Terms, you agree to pay liquidated damages of $10 per data record accessed plus $2,500 per day of continued violation after notice. These amounts represent a reasonable estimate of harm and are not a penalty.
If you believe content on the Platform infringes your copyright, contact our designated DMCA agent at contact@sylkhealth.com with a notice complying with 17 U.S.C. Section 512(c)(3).
8. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform in any way that violates applicable laws, infringes third-party rights, or interferes with platform operations. The following conduct is prohibited:
- Submitting multiple Booking Inquiries using different identities to circumvent usage limits or restrictions
- Using the Platform to practice medicine without valid credentials
- Misrepresenting your identity, qualifications, or credentials
- Posting false, misleading, or fraudulent content including fake reviews
- Sharing Booking Inquiry management tokens
- Using provider contact information obtained through the Platform for unsolicited communications
- Attempting to coordinate or fix pricing with other providers listed on the Platform
- Using the Platform for any purpose related to money laundering, terrorism financing, sanctions evasion, or other financial crime
Sylk Health reserves the right to restrict, suspend, or terminate your access to the Platform at any time, with or without notice, for violation of these Terms or any applicable law. Sylk Health shall not be liable for any such restriction, suspension, or termination.
Healthcare Providers listed on the Platform are subject to additional obligations under the separate Provider Agreement, including credential accuracy, pricing transparency, and response time expectations.
9. Privacy, Data Protection, and Cross-Border Transfer
Your use of the Platform is governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you acknowledge our data practices as described in the Privacy Policy.
Hydra Holdings FZ (Meydan Free Zone, Dubai, UAE) is the data controller for personal data processed through the Platform.
When you submit a Booking Inquiry, your email address and procedure of interest are transmitted to the Healthcare Provider you selected. This constitutes a cross-border data transfer to the country where the provider is located. Countries where listed providers are located may not provide the same level of data protection as the EU, UK, or your home country. We implement Standard Contractual Clauses in our provider agreements to safeguard your data during transfer.
Sylk Health is not a HIPAA-covered entity or Business Associate. All medical information and health records are handled directly by Healthcare Providers who maintain their own regulatory compliance.
As an entity registered in Meydan Free Zone, Dubai, Sylk Health complies with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021) and its implementing regulations.
You may exercise your rights under applicable data protection laws (including access, correction, deletion, and portability) by contacting contact@sylkhealth.com. For detailed information about your rights, see our Privacy Policy and Platform Information.
10. Payment Terms
As of the effective date of these Terms, Sylk Health does not charge users any fees for submitting Booking Inquiries or browsing the Platform.
Sylk Health does not process payments for medical services. All payment arrangements for medical procedures are made directly between the user and the Healthcare Provider. Sylk Health is not responsible for pricing disputes, payment failures, or refunds related to medical services.
If Sylk Health introduces platform fees in the future, users will be notified in accordance with Section 15 (Modifications to Terms) and any fees will be clearly disclosed before any transaction.
All prices displayed on the Platform are in the currency indicated. Actual charges may vary due to exchange rates, bank fees, and provider billing practices. Sylk Health is not responsible for currency conversion losses or discrepancies between displayed and charged amounts.
11. Disclaimer of Warranties
The platform and all content are provided “as is” and “as available” without any warranties of any kind, express or implied. Sylk Health disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
Sylk Health does not guarantee the quality, suitability, safety, or ability of any healthcare provider. Sylk Health does not guarantee the accuracy of provider-listed prices, credentials, accreditation status, or availability. Prices displayed on the platform are indicative estimates provided by third-party providers and do not constitute a binding quote or offer. Final pricing is determined solely between the user and the healthcare provider and may exclude ancillary costs including anaesthesia, laboratory tests, follow-up care, hospital stay extensions, and complications.
Sylk Health does not warrant that the platform will operate uninterrupted, error-free, or free from harmful components.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Sylk Health shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, business interruption, or any substitute goods or services, arising from or related to your use of the platform, regardless of the theory of liability (whether based on contract, tort, negligence (active, affirmative, sole, or concurrent), strict liability, vicarious liability, apparent agency, ostensible agency, respondeat superior, or any other legal or equitable theory), even if Sylk Health has been advised of the possibility of such damages.
Sylk Health shall not be liable for the acts, omissions, negligence, medical malpractice, or misconduct of any healthcare provider, or for any injury, illness, death, or damage arising from medical treatment by any listed provider, or for any dispute between you and any healthcare provider.
If a dispute arises between you and any healthcare provider, you release Sylk Health from all claims, demands, and damages of every kind and nature arising out of or in any way connected with such dispute.
Non-Waivable Carve-Outs
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any harmful act (tort) where exclusion is prohibited by applicable law, including UAE law; or (d) any other liability that cannot be excluded or limited by applicable law.
Consumer Protection
You may be protected by mandatory consumer protection laws and regulations of your country of residence. If there is any inconsistency between those laws and regulations and these Terms, such mandatory consumer protection laws and regulations shall prevail.
13. Indemnification
You agree to indemnify, defend, and hold harmless Sylk Health, its officers, directors, employees, and agents from all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your violation of any applicable law; or (e) any actions taken by anyone using your Booking Inquiry management tokens.
The foregoing indemnification obligation does not apply to liabilities, claims, and expenses arising as a result of Sylk Health’s own gross negligence or intentional misconduct.
14. Dispute Resolution and Governing Law
Governing Law
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), Dubai, UAE.
Arbitration
Any dispute, claim, or controversy between you and Sylk Health arising out of or relating to these Terms, the Platform, or any Booking Inquiry shall be resolved through binding individual arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules, seated in Dubai, UAE. Arbitration shall be conducted in English by a sole arbitrator. Hearings shall be conducted virtually (by video or telephone) unless both parties agree otherwise. Sylk Health shall pay all arbitration fees for claims under $10,000.
Jurisdiction-Specific Provisions
United Kingdom
If you are a consumer habitually resident in the United Kingdom, nothing in these Terms shall deprive you of any mandatory protections granted under the Consumer Rights Act 2015, the Unfair Contract Terms Act 1977, or any other mandatory consumer protection legislation. You retain the right to bring proceedings in the courts of England and Wales, Scotland, or Northern Ireland. The arbitration clause above is not binding on UK consumers for claims under the applicable threshold set by the Unfair Arbitration Agreements (Specified Amount) Order 1999.
European Union
If you are a consumer habitually resident in an EU Member State, nothing in these Terms affects your rights under mandatory consumer protection law of your country of habitual residence. You may bring claims in the courts of your habitual residence.
United States
The arbitration clause above applies. The Federal Arbitration Act governs all questions as to whether a dispute is subject to arbitration.
Canada
If you are a resident of Canada, nothing in these Terms deprives you of any mandatory protections under the consumer protection legislation of your province of residence. The arbitration clause above does not require the payment of upfront fees that would be disproportionate to the amount in dispute. You may bring claims in the courts of your province of residence.
Australia
If you are a consumer within the meaning of the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010), nothing in these Terms excludes, restricts, or modifies any consumer guarantee or any right or remedy you may have under the Australian Consumer Law. You may bring claims in the courts of your state or territory of residence.
New Zealand
If you are a consumer resident in New Zealand, nothing in these Terms limits or excludes any rights or guarantees you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be lawfully excluded. The arbitration and governing law provisions in these Terms do not apply to you to the extent they would constitute an unfair contract term under Part 2 of the Fair Trading Act 1986. You may bring claims in the courts of New Zealand.
Mexico
If you are a consumer resident in Mexico, the provisions of the Ley Federal de Proteccion al Consumidor apply to your use of the Platform. Your rights under that law are irrenunciable and cannot be waived by these Terms. Nothing in these Terms excludes your right to file a complaint with PROFECO or to bring claims before competent Mexican federal courts.
UAE
In accordance with UAE law, nothing in these Terms excludes or limits liability for harmful acts (tort) including negligence, fraud, or death or personal injury.
Class Action and Jury Trial Waiver
You acknowledge and agree that you and Sylk Health are each waiving the right to a trial by jury and the right to participate as a plaintiff or class member in any purported class action, class-wide arbitration, or representative proceeding.
Medical Injury Carve-Out
Excluded from arbitration: (a) claims for personal injury, bodily harm, or death allegedly arising from medical treatment, malpractice, or clinical negligence by any Healthcare Provider found through the Platform; (b) claims that may be brought in small claims court in the claimant’s jurisdiction of residence; (c) claims for injunctive relief to protect intellectual property.
Mandatory Mediation
Before initiating arbitration or court proceedings, you must: (a) submit a written complaint to contact@sylkhealth.com within 90 days of discovering the issue, describing the dispute and requested relief; (b) allow Sylk Health 30 days to respond; and (c) if unresolved, participate in mediation administered by a mutually agreed mediation provider (or, for UK users, the Centre for Effective Dispute Resolution (CEDR)) for a period of up to 28 days. Sylk Health shall advance mediation costs, which may be reallocated based on the outcome. You may withdraw from mediation at any time. This clause does not prevent either party from seeking emergency injunctive relief.
Expert Determination for Factual Disputes
Where a dispute turns on a factual question (including but not limited to: whether pricing information was accurately displayed, whether a Booking Inquiry was transmitted, whether specific information was available on the Platform at a given time), either party may refer that factual question to an independent expert for binding determination. The expert shall be appointed by agreement or, failing agreement, by the President of CEDR. Sylk Health shall advance the expert’s fees. The expert may reallocate costs based on the outcome of the determination. The expert’s determination of the factual question shall be binding, but legal questions (including liability, quantum of damages, and the fairness of these Terms) remain for the courts or arbitrator.
Limitation Period
Any claim arising from or relating to these Terms or your use of the Platform must be brought within one (1) year of the event giving rise to the claim. This limitation does not apply to: (a) claims for death or personal injury; or (b) consumers habitually resident in the United Kingdom or European Union, for whom the statutory limitation periods of their jurisdiction apply.
15. Modifications to Terms
We may modify these Terms from time to time. Where such changes are Material Changes (as defined in Section 2), we will provide at least 30 days’ advance notice via a prominent notice on the Platform and, where possible, by email to users who have submitted Booking Inquiries. Material Changes will require your affirmative acceptance before taking effect.
If you do not accept the changes, you may stop using the Platform. Existing Booking Inquiries submitted before the effective date of any change will continue to be governed by the Terms in effect when the inquiry was submitted.
Non-material changes (editorial, typographical, or clarifying changes that do not affect your rights) will be indicated by an updated “Last Modified” date. Your continued use of the Platform after such changes constitutes acceptance.
16. Regulatory Compliance
EU Digital Services Act
For users in the European Union: Sylk Health’s content moderation practices, complaint handling procedures, and out-of-court dispute settlement information are described in our Platform Information page. Our EU legal representative is [TO BE APPOINTED]. For dispute resolution, you may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Algorithmic Transparency
Estimated US comparison prices displayed on the Platform are generated by statistical and algorithmic models based on publicly available healthcare pricing data. These estimates are informational only and do not represent provider-set prices, binding quotes, or guaranteed costs.
